End User License Agreement

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Daniel T. Li, Engineering International Inc. ("DTL") for the DTL software ("spreadsheets") that accompanies this EULA. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY DOWNLOADING AND/OR USING THE SOFTWARE. IF YOU DO NOT AGREE, DO NOT LOAD THE PACKAGE SOFTWARE ON YOUR COMPUTER.

1. DISCLAIMER

We never authorized any third-party to sell or distribute our software on behalf of our company. Two (or Network) Package License is for the purchaser's company with the same Federal Tax ID. The purchased professional version are XLSB/XLSM software by Windows Excel 2010/2013 or 2016 Office 365. We do not sell individual software because all software database linked together for full functions. We do not provide unprotected spreadsheet (original programming language), but our Package are VBA software, not EXE applications, so if purchaser has the original USB key, our original programming language of Basic for Applications can be Visual for any cases. We require purchaser to provide us the manufacturer's IDs of licensed computer, by screenshot, before Package software out. DO NOT UNPROTECT the spreadsheets (lost VAB Events). If the software un-locked/hacked, the calculations, at random times, will be inadequate and entire Package database will be changed. Please use hard copy or PDF file, not XLSB/XLSM/XLS/EXE version, as project records.
The individual developers of the software might have other employers besides Daniel T. Li, Engineering International Inc. These other employers are not participants in the development, ownership or sale of the software and have no responsibility or liability for the software accuracy or performance.
We intend that the analysis is accurate and reliable, but it is entirely the responsibility of the user to verify the accuracy and applicability. The entire liability of Daniel T. Li, Engineering International Inc. shall be limited to the purchase price. Please check this web version software before purchasing. We can not refund your payment if we sent you entire Package/Group.

2. SOFTWARE LICENSE

The software is licensed, not sold. All right, title and interest is and remains vested in DTL. You may not rent, lease, or lend the software. DTL never authorized any third-party to sell or distribute our software on behalf of our company. Two (or Network) Package License is for the purchaser's company with the same Federal Tax ID.

(a) Single Package License, and Select Individuals License, for single user with one computer (one Laptop or Tablet/PAD ok).
(b) Two Package License for two users with five computers (two Laptops or Tablets/PADs ok).
(c) (For public safety of structural analysis correct, we do not sell Network Server Package License more. But new purchaser can still move/Save As/copy the software from the licensed PC to project folder of Network Server, then move/copy back to re-open.)

3. UPGRADING SERVICE

DTL provides upgrading service, for Package purchaser only, with upgrading fee as mentioned on DTL web site. The upgrading service includes new software that released after the purchased date. If you do not want to update, you can use the Package on the licensed computer without expire. But if you want to update new IBC/CBC Package license, including new software that released from the purchased date, you have to pay the upgrading fee within each year. When the purchased Package has not been upgraded for more than one year, you may be given the opportunity to continue getting upgrading service on an annual basis fee.

4. TERMINATION

DTL may terminate your right to use the software if you fail to comply with the terms and conditions of this agreement. All disputes shall be resolved in accordance with the laws of the State of California, USA and all parties to this Agreement expressly agree to exclusive jurisdiction within the State of California, USA. No choice of law rules of any jurisdiction apply.
